But we also offer premium, boutieque services in providing regular, pragmatic guidance to our start-up and other corporate clients - whether regarding their day-to-day needs, in how to avoid pitfalls, about how to navigate emergencies and in general how best to pursue succesfful trajectories. We also get involved in managing outside counsel to ensure efficiencies or in helping to hire key personnel, as requested. We are able to provide these in-house general counsel services on a retainer or ad-hoc basis.

Representative Matters
Among other matters, Baruch has:
• advised a major corporation about architecting a state-of-the-art guest services infotainment system and corresponding mobile app launch for its new hotel business;
• negotiated and drafted a white label SaaS agreement (with exhibits for a unique blend of customization, SLA, escrow and buyout provisions) for a real estate crowdfunding business;
• acted as in-house counsel for a financial services technology company (tasks included: advising how to protect, manage and exploit its core product – a trading ecosystem consisting of execution gateway, feed handler latency, simulation, and risk management features), and negotiating SaaS and other agreements with major banks, exchanges and financial institutions;
• drafted user agreements for an online, international freight shipping marketplace regarding transactions between shippers, freight forwarders and carriers;
• drafted a user agreement and privacy policy for a travel booking website;
• advised an online index providing original research and analysis of the crypto financial and bitcoin markets;
• represented a Canadian public company regarding various projects including the formation of a joint venture among financial services, technology and biofuel companies for the purpose of launching an online renewable energy credit exchange;
• advised tele-medicine start-up in forming a joint venture with a major medical center;
• acted as in-house counsel for a diet website (tasks included: providing advice on corporate governance, investor issues, IP management, website/branding/advertising/privacy matters, and managing outside counsel);
• negotiated the redesign and back-end development of an internationally renowned fashion designer's e-commerce website, and oversaw the launching of its Facebook-hosted and other online promotional activities;
• structured a joint venture for a non-alcoholic beverage company with an entertainment industry fund;
• advised a celebrity food and lifestyle brand in executing a restructuring, in general IP management and protection issues, and in negotiations with an investor group;
• provided in-house assistance to an educational boot camp geared to children of high net worth families;
• drafted license agreement for medical device developer with major pharmaceutical company involving marketing and distribution rights;
• counseled a niche collector regarding the development and launch of an online auction platform for high-end toy car collectibles;
• drafted advertiser and publisher agreements for an online advertisement creation platform;
• drafted medical practitioner advisor agreements for a health and wellness video production company;
• negotiated a life rights and production agreement in connection with a for-television (Lifetime) movie about the search of missing and exploited persons;
• negotiated and drafted customer and advertiser agreements for the operator of a digital surveillance and advertising network; and
• advised a digital post-production client about a bid offer for a U.S. Navy project regarding DVD and other digital format authoring and encoding projects.
BRIEF BIO
Bebchick Law, headed by Baruch M. Bebchick, maintains a robust practice involving a broad range of commercial, corporate and intellectual property matters. Our success in cultivating a loyal client base is due to the diligent efforts and personal attention with which we undertake each of our representations. Prior to launching Bebchick Law, Baruch was associated with a leading New York media and entertainment law firm. Baruch’s practice there was focused on business formation and reorganization, Internet and e-commerce, M&A, licensing, employment, advertising & marketing, software, entertainment and privacy. Prior to this association, Baruch was affiliated with an Israeli law firm where he worked on various matters including cross-border venture capital and biotech transactions, and software and other high-tech licensing matters. Baruch also has served as a legal analyst with Columbia Business School’s Institute for Tele-Information, has published articles in Total Licensing and International Negotiation, and has been featured in various articles. Baruch is a certified mediator who has presided over various matters in several Manhattan courts, and has acted as an advocate for battered women in Manhattan Family Court. He also served in the paratroop brigade and a reserve reconnaissance unit of the Israel Defense Forces, and was selected his platoon's "Most Outstanding Soldier".
